• Modify, adapt, grant a sub-license, translate, sell, disoss, decompile or dismantle any part of the site or its content.

BACCHUS CULT can cancel or deny the processing of these orders, even if the order has been confirmed and that your credit card has been debited. If we have debited the wrong amount from your credit card and canceled your order, our Company will credit the amount equal to the erroneous price to the account linked to your credit card.
Promotions and recommendation programs. From time to time, Bacchus Cult can offer promotions and recommendation programs for its merchandise or in order to either increase its sales or members. You accept to indemnify, defend and to clear our company, Bacchus Cult, its affiliates, its licensors, its suppliers, its advertisers, its promoters, its managers, its agents, its employees, its advisers and its other representatives of any responsibility regarding all claims, all damage, all loss, all costs (including all lawyers' fees as far as is reasonable) and any other incurred costs ensuing directly or indirectly from (a) this agreement's infringement by your part, in particular the infringement of the above-mentioned Code of Conduct; (b) any allegation suggesting that contributions and other documents you sent us or that you have sent on the site contravene or violate in any way the copyright, the trademark, the trade secret or any other intellectual property or any other third party right; (c) your activities in relation to the site; (d) the infringement on your part of applicable jurisdiction laws or of third party rights.
E-notice. Whenever you use the site or that you send emails to our Company, Bacchus Cult, you communicate electronically and receive electronic communications from our Company. You consent to receive communications from our Company, electronically, and you accept in particular to receive communications from our Company by emails where our Company will be able to display notice on the site. You accept specifically that all agreements, notice, disclosures and all other types of communications which our Company forwards to you electronically will respect all legal obligations requiring that these communications shall be recorded in writing.

18.-Applicable laws. The agreement is regulated by Quebec provincial laws (Canada) and by laws which apply independently to principles of international private law. You consent to the fact that all jurisdictions and all appropriate places in regards to all legal proceedings directly or indirectly linked to this agreement, the site, to services and to the aforesaid content (including without limiting itself to, the purchase of products or services offered by Bacchus Cult) should be in a provincial or federal court of the city or the judicial district of Montreal (Quebec). You agree that independently of any status or law planning opposite arrangements, any claims or cause of action ensuing the use of services or products offered by our Company, the site or this agreement or relating to it must be presented within a year following the aforementioned claim or cause of action at the risk of being prescribed forever. By using this site, you accept to renounce to any right for a trial before a jury.

19.-Arbitration. By using this site, you agree to the fact that any dispute, controversy or complaint ensuing this agreement, relating to it or relating to the infringement, the execution, the non-execution, the termination or the invalidity of this agreement will be arbitrated and settled, in conformity to the national arbitration rules of the Institute of arbitration and mediation of Canada Inc. (the "Institute"). The arbitrator's written judgment will be definitive and mandatory for the parties, and the judgment or the sentence imposed will be made available, obtained or presented before any competent court. The Institute will have to designate the sole arbitrator after consulting with the parties. The designated arbitrator will act independently of the parties and will have to be reputed on the international scale for his experience in legal and technical aspects in regards to the dispute. The arbitration will have its seat in Montreal (Quebec) however provided that the arbitrator may organize audiences in other locations determined at his initiative after consulting with the parties. The arbitration procedures, all pleadings and written proofs will have to be produced in English. For all written proof initially drafted in a language other than English, the original document or a copy of the said document as well as an English translation will have to be provided. The arbitrator is not allowed to award for punitive damages. In no case can the arbitrator enjoy the power of conciliator. No element of this agreement prohibits the parties from requesting interim or interim protective measures before the court of a competent authority, however provided that the display of a request of prescription of temporary protection, of a preliminary injunction or if need be any other interim or interim protective measures, or the authorization of the aforementioned measures cannot be reputed as constituting a renunciation. The parties accept that, in all cases, the dispute must be heard and solved exclusively by an arbitrator. The rights and obligations of the parties described in this agreement will always be effective after the termination, expiration, non-renewal or repeal of the agreement.

20-Miscellaneous. If certain measures of this agreement are judged as being illicit, invalid or not applicable for any reason, the aforementioned measures will be reputed as separable from this agreement; they will not affect the validity and the enforceability of the other measures. The present constitutes the entirety of the agreement between the user and Bacchus Cult in regards to the described subject; it replaces all prior and one-off agreements (either oral or written) between the user and Bacchus Cult as for the subject. If this agreement is contradicting with other documents, the terms of this agreement prevail in all respect to the use of the site. This agreement is inalienable, it is not transferable and cannot result in the awarding of a sub-license to your initiative without having obtained beforehand the written consent of our Company, Bacchus Cult. No renunciation from the parties to the infringements and failing hereunder will be judged as being a renunciation to a prior or following infringement or failing. In spite of any contrary measure under this agreement, all measures of this agreement which imposes or contemplates the pursuit of the obligations for a party after expiry or termination of this agreement will survive to the aforementioned expiry or termination. Any header, caption or section title contained in this agreement is solely inserted by convenience and does not define or explain the present sections or measures.
